1. Acceptance of Terms

By creating an account or using Valegate Systems (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms constitute a binding agreement between you and Valegate Systems, Inc.

2. Description of Service

Valegate Systems is a regulatory change management and compliance monitoring platform for financial institutions. The Service enables users to track regulatory updates, map them to internal policies and controls, detect compliance gaps, manage remediation workflows, collect evidence, and generate examiner-ready reports.

4. User Responsibilities

By using the Service, you represent and warrant that:

• You are authorized by your institution to use the Service for compliance management purposes.
• You will not upload content that contains personally identifiable information (PII) of customers unless required for compliance documentation and permitted under applicable privacy laws.
• You will maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
• You will ensure that all users within your organization are trained on proper use of the Service.
• You will comply with all applicable laws, regulations, and your institution’s internal policies when using the Service.

5. Prohibited Uses

You may not use Valegate Systems to:

• Circumvent, disable, or interfere with security features of the Service.
• Upload, process, or distribute content that is illegal, defamatory, or harmful.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Resell or sublicense access to the Service without express written permission.
• Use the Service in a manner that could mislead examiners or auditors about your institution’s compliance posture.
• Transmit malware, viruses, or any other harmful code through the Service.

6. Data Security and Privacy

We implement industry-standard security measures including encryption in transit and at rest, role-based access controls, multi-tenant data isolation, and immutable audit logging. User passwords are stored as one-way cryptographic hashes (bcrypt) and cannot be viewed, retrieved, or reversed by anyone at Valegate, including engineers and system administrators. Data retention periods are configurable and default to 7 years to align with banking regulatory requirements. You may request data export or deletion subject to applicable retention obligations.

We will not access, use, or share your data except as necessary to provide and improve the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.

7. AI-Powered Features

Valegate Systems uses artificial intelligence to assist with regulatory analysis, gap detection, and remediation planning. By using these features:

• You acknowledge that AI outputs are advisory and require human review and approval before reliance.
• You are responsible for validating all AI-generated findings against authoritative regulatory sources.
• AI model versions, confidence scores, and analysis metadata are logged for audit purposes.
• You may disable AI-powered features at any time through the Service settings.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF REGULATORY CONTENT OR AI-GENERATED ANALYSIS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALEGATE SYSTEMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO VALEGATE SYSTEMS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Valegate Systems, its affiliates, officers, agents, and employees from any claim, demand, loss, liability, or expense (including attorneys’ fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit or process through the Service.

11. Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, upon written notice. You may terminate your account by contacting support. Upon termination, we will provide a data export in a standard format within 30 days of your request, subject to applicable retention requirements.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by posting a notice in the Service or by email at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
