By creating an account or using Valegate Systems (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms constitute a binding agreement between you and Valegate Systems, Inc.
Valegate Systems is a regulatory change management and compliance monitoring platform for financial institutions. The Service enables users to track regulatory updates, map them to internal policies and controls, detect compliance gaps, manage remediation workflows, collect evidence, and generate examiner-ready reports.
Valegate Systems is a compliance management tool. It does not provide legal, regulatory, or compliance advice. You are solely responsible for ensuring your institution’s compliance with applicable laws, regulations, and supervisory guidance.
AI-generated analysis, gap detection, and remediation suggestions are advisory only. All findings must be reviewed, validated, and approved by qualified compliance personnel before reliance.
Valegate Systems does not guarantee the accuracy, completeness, or timeliness of regulatory content ingested from third-party sources. Users are responsible for verifying regulatory information against authoritative sources.

We implement industry-standard security measures including encryption in transit and at rest, role-based access controls, multi-tenant data isolation, and immutable audit logging. User passwords are stored as one-way cryptographic hashes (bcrypt) and cannot be viewed, retrieved, or reversed by anyone at Valegate, including engineers and system administrators. Detailed security practices are described in our Security Policy, available upon request.
Data retention periods are configurable and default to 7 years to align with banking regulatory requirements. You may request data export or deletion subject to applicable retention obligations.
We will not access, use, or share your data except as necessary to provide and improve the Service, comply with legal obligations, or as otherwise described in our Privacy Policy.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF REGULATORY CONTENT OR AI-GENERATED ANALYSIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALEGATE SYSTEMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO VALEGATE SYSTEMS IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Valegate Systems, its affiliates, officers, agents, and employees from any claim, demand, loss, liability, or expense (including attorneys’ fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit or process through the Service.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, upon written notice. You may terminate your account by contacting support. Upon termination, we will provide a data export in a standard format within 30 days of your request, subject to applicable retention requirements.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
We may update these Terms at any time. We will notify you of material changes by posting a notice in the Service or by email at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
